Terms of Service Agreement

Welcome to SchoolBee! The SchoolBee website and service are provided by SchoolBee, LLC. (“SchoolBee”, “we” “us” or “our”). These terms and conditions (these “Terms of Service”) govern your (“You” or “Your”) access to and use of the SchoolBee.com web site (the “Website”) and, when available, the related mobile applications (“Mobile App”) and all services provided by SchoolBee via the Website and/or Mobile App (collectively, the “Services”).

SchoolBee provides electronic delivery of student directories via the internet to subscribers via computers and mobile devices connected to the Internet. Access to the Website and use of the Services is subject to these Terms of Service and the SchoolBee Privacy Policy available on the Website.

This Agreement and the applicable Order Schedules (incorporated herein by reference) are effective between You and SchoolBee as of the date that You accept these Terms and Conditions.

In general, SchoolBee is designed to be a private directory for members only. SchoolBee does not use advertising nor share your Directory information with third parties without your consent.

Acceptance of Terms

By using our website, any mobile app, and/or any of our associated services and features, you indicate your unconditional acceptance of these terms of service. These terms of service apply to all SchoolBee online services and features, unless otherwise indicated.

Privacy Policy

At SchoolBee, we believe that protection of your privacy is important. Please read our Privacy Policy, which is incorporated herein by reference.

Description of Service

SchoolBee works with Parent Teacher Groups (“PTGs”) administrators or a school’s technology departments (“Registering Member” and/or “Administrator”) to make a directory electronically accessible on the Website and Mobile App (“Directory”). The Registering Member and/or Administrator provides the Directory containing information about students, parents and alumni (each a “Directory Member”) from Your school.

A Directory will become electronically accessible to You if You are a listed member of that Directory and Your Registering Member registers Your school’s directory with SchoolBee. You will receive an invitation email with a link to register using the Website or Mobile App. Upon registering, You will have the option to opt-out of the Directory. Only listed members of the Directory, teachers and administrators at the applicable school, and other persons authorized by the Administrators will be permitted to access that Directory.
You hereby represent that all the information You provide to us shall be complete and correct, and that You are authorized to access and use the applicable Directory as a Registering Member, Administrator and/or Directory Member with respect to that Directory.

You are responsible for obtaining any equipment and Internet service necessary to access our Website and for paying any fees for the equipment and service You select. We may alter, suspend, or discontinue this Website and the Services in whole or in part, at any time and for any reason, without notice. If this Website and its Services, in its entirety, are discontinued, we will offer Administrators electronic copies of the Directory data from the most recent version of data that is available at that time. The Website and associated Services may also periodically become unavailable due to maintenance or malfunction of computer equipment or for other reasons.

Website Content

Subject to the terms and conditions of these Terms of Service and any other agreement between You and SchoolBee, we hereby grant to You a personal, non-exclusive, non-transferable, non-sublicensable right and license to access and use the Services, and all Content therein, solely within the scope of Your status as a Registering Member, Administrator, or Directory Member. The term “Content” means the Directory (that you are permitted to access), all information, text, images, data, links, or other material posted on the sections of the Website that are (i) publicly available and (ii) available to You pursuant to the Directory(s) to which You have the right to access, whether created by us or provided by a third party, such as a PTG, for display on the Website and whether viewed on-line or printed by You.

We reserve the right to make changes to document names and content, descriptions or specifications of products or services, or other information without obligation to issue any notice of such changes.

Nothing contained on this Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use this Website, Services or any Content displayed on this Website, through the use of framing or otherwise, except: (a) as expressly permitted by these Terms of Service; or (b) with our prior written permission or the permission of such third party that may own the trademark or copyright of material displayed on this Website.

Content Submitted by Users

Accuracy

If You choose to provide information to register for or participate in a service, event, or promotion on this Website, You agree that You will provide accurate, complete, and up to date information as requested on the screens that collect information from You. Please refer to our Privacy Policy for information on our practices for handling personally identifiable information.

Liability

We are not responsible or liable for the conduct of users or for views, opinions and statements expressed in Content submitted for display through our Services. We do not prescreen information submitted to the Website. With respect to such Content posted on our Website, we act as a passive conduit for such distribution and are not responsible for Content. Any opinions, advice, statements, services, offers, or other information in the Services provided by users are those of the respective author(s) or distributor(s) and not of SchoolBee. We neither endorse nor guarantee the accuracy, completeness, or usefulness of any such Content. You are responsible for ensuring that Content submitted to this Website is not provided in violation of any copyright, trade secret or other intellectual property rights of another person or entity or of any applicable law. You shall be solely liable for any damages resulting from any infringement of copyrights, trade secret, or other intellectual property rights, or any other harm resulting from Your uploading, posting or submission of Content to this Website.

Monitoring

We have the right, but not the obligation, to monitor Content submitted to our Website, to determine compliance with these Terms of Service and any other applicable rules that we may establish, from time to time. We have the right in our sole discretion to edit or remove any material submitted to or posted in any online discussion forum or chat room provided through this Website. Without limiting the foregoing, we have the right to remove any material that SchoolBee, in its sole discretion, finds to be in violation of these Terms of Service or otherwise objectionable, and You are solely responsible for the Content that You post to this Website.

Prohibited Conduct

By accessing our Website and/or using our Services, You agree to abide by the following standards of conduct. You agree that You will not, and will not authorize or facilitate any attempt by another person to use our Website or any related Service to:

  1. Transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, offensive, obscene, pornographic, lewd, lascivious, or otherwise objectionable, as determined by SchoolBee.
  2. Use a name or language that SchoolBee, in its sole discretion, deems offensive.
  3. Post defamatory statements.
  4. Post hateful or racially or ethnically objectionable Content.
  5. Post Content which infringes another's copyright, trademark or trade secret or other intellectual property or proprietary right.
  6. Post unsolicited advertising or unlawfully promote products or services.
  7. Harass, threaten or intentionally embarrass or cause distress to another person or entity.
  8. Impersonate another person.
  9. Promote, solicit, or participate in any multi-level marketing or pyramid schemes.
  10. Exploit children under 18 years of age.
  11. Engage in disruptive activity such as sending multiple messages in an effort to monopolize the forum
  12. Introduce viruses, worms, Trojan horses and/or harmful code to this Website or the Mobile App.
  13. Obtain unauthorized access to any computer system through this Website or the Mobile App.
  14. Invade the privacy of any person, including but not limited to posting personally identifying or otherwise private information about a person without their consent (or their parent’s consent in the case of a child under 13 years of age).
  15. Solicit personal information from children under 13 years of age.
  16. Violate any federal, state, local, or international law or regulation.
  17. Encourage conduct that would constitute a criminal or civil offense.

In addition, You may not, and may not assist or enable others to, use any robot, spider, site search/retrieval application, or other automated device, process, or means to access, retrieve, scrape, or index any portion of the Service or Content. You also may not, and may not assist or enable others to, use any robot, spider, site search/retrieval application, or other automated device, process, or means to collect information from or about other users of the Service.

Pricing

Information regarding memberships, items for sale, price, availability and product descriptions contained on this website has been provided by each PTG who are solely responsible for the content and accuracy of such information. If the checkout price and the price posted on the website are different, the checkout price will prevail in every case. Please contact us at support@schoolbee.com if the website contains inaccurate information.

Fees and Payment

SchoolBee provides the Service at no charge to Directory Members, but reserve the right to charge for access in the future.

Paid services are offered by SchoolBee will be stated and agreed to in specified Fee Schedules. By selecting a Paid service You agree to pay SchoolBee the agreed upon transaction fee or monthly or annual subscription fees indicated for that service. Payments will be charged on the day you sign up for a premium service and will cover the use of that service for a monthly or annual period as indicated. Premium service fees are not refundable.

Premium Services

Fees and Payment; By signing up for Premium Services You agree to pay SchoolBee the fees indicated in exchange for the services. Applicable fees will be invoiced starting from the day Your Premium Service is established. Premium Services can be canceled by you at any time. Refunds are not provided for unused time remaining on your paid term, but access will remain active until the term expires or the administrator requests access is cancelled.

Support; Premium Support accounts include access to priority email support and telephone support. “Email support” means the ability to make requests for technical support assistance by email. “Priority” means that support for Premium Service customers takes priority over support for users of the standard, free SchoolBee.com services. Premium “Telephone Support” will be available during normal business hours of 9am-5pm EST, Monday through Friday excluding SchoolBee observed holidays.

Disputes

Any dispute relating to the products or services you purchase through SchoolBee from a PTG shall be submitted to the PTG whose products and or services you purchased.

Mobile Applications

If You use a Mobile App, Your mobile carrier’s normal rates and charges apply. We are not responsible for any charges You incur from Your mobile carrier as a result of use of the Services.

You are responsible for ensuring that at all times while using the Service You are not in violation of Your wireless data service agreement.

Children

This Website is intended to serve a general audience and does not provide specific features or services targeted at children under age 13. While parents may provide information about their student child, access to that information will be limited to other users listed on the same directory. For children under the age of 13, the information on this Website is targeted to that child’s parents.

Indemnification

By using this Website, You agree to indemnify, hold harmless and defend SchoolBee and its officers, directors, employees and agents from any claims, damages, losses, liabilities, and all costs and expenses of defense, including but not limited to, attorneys' fees, resulting directly or indirectly from a claim by a third party that arises in connection with Your use of this Website.

Intellectual Property Rights

Unless otherwise noted, all Content contained on this Website is the property of SchoolBee and/or its affiliates or licensors (such as the applicable PTG), and is protected from unauthorized copying and dissemination by United States copyright law, trademark law, international conventions and other intellectual property laws. Product names are trademarks or registered trademarks of their respective owners.

We do not claim ownership of Content submitted by users without compensation by SchoolBee and with the expectation that such Content will be made publicly accessible through our Website. By submitting such Content, however, You agree to grant us a world-wide, royalty-free, perpetual, irrevocable, non-exclusive license to use, distribute, reproduce, modify, adapt, create derivative works from such Content, subject to the terms of our Privacy Policy. This license shall remain in effect until we delete the Content from our systems. We will remove any Directory from our Services at the written request of the applicable PTG.

Copyright Infringement: Notice and Takedown Procedures

If You believe that any materials on this Website infringe Your copyright, You may request that they be removed. This request must bear a signature (or electronic equivalent) of the copyright holder or an authorized representative and must include the following information: (1) identification of the copyrighted work that You believe to be infringed, including a description of the work and, where possible, a copy or the location of an authorized version of the work; (2) identification of the material that You believe to be infringing and its location, including a description of the material, its Website location or other pertinent information that will help us to locate the material; (3) Your name, address, telephone number, and email address; (4) a statement that You have a good faith belief that the complained of use of the materials is not authorized by the copyright owner, its agent, or the law; (5) a statement that the information in Your claim is accurate; and (6) a statement that "under penalty of perjury," You declare that You are the lawful copyright owner or are authorized to act on the owner’s behalf. Security

When You register to use this Website or any Mobile App or other Service or to participate in an online discussion forum, chat room, promotion, or other service offered on this Website, You will be required to establish a login identifier and a password. You are responsible for protecting Your login and password from unauthorized use, and You are responsible for all activity that occurs on Your account. You agree to notify us immediately if You believe that Your login or password has been or may be used without Your permission so that appropriate action can be taken. We are not responsible for losses or damage caused by Your failure to safeguard Your login and password.

Disclaimer of Warranty

Under no circumstances will we be liable for any loss or damage caused by Your reliance on information in any Content by our use of this Website. Governing Law

These Terms of Service and any End User License Agreement that may apply shall be governed and interpreted pursuant to the laws of the State of New York, United States of America, without regard to the conflict of law provisions thereof.

Severability

If any part of these Terms of Service is held to be unlawful, void, or unenforceable, that part will be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Assignment

Neither these Terms of Service nor the licenses granted herein are transferable by You without the prior written consent of SchoolBee, which may be granted or withheld in SchoolBee’s sole discretion. These Terms of Service shall inure to the benefit of the parties and their successors and permitted assigns.

Entire Agreement

These Terms, our Privacy Policy are the entire and exclusive agreement between SchoolBee and You regarding the Services (excluding any services for which you have a separate agreement with SchoolBee that is explicitly in addition or in place of these Terms), and these Terms supersede and replace any prior agreements between SchoolBee and You regarding the Services. Other than members of SchoolBee, LLC., no other person or company will be third party beneficiaries to the Terms. We may, at our sole discretion and without notice, revise these terms at any time by updating this posting. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
